The Company was a small-cap publicly traded agriculture technology business providing precision agriculture solutions, farm-management software, automation technology and data analytics to commercial farming operations. The Company had developed a differentiated technology platform and established relationships with large agricultural producers, equipment distributors and strategic industry partners. However, slower-than-expected adoption of its newest products, elevated research and development expenditures and a prolonged period of negative operating cash flow placed significant pressure on its balance sheet. The Company had approximately US$14 million of debt and other financing obligations, limited unrestricted cash and a recurring monthly cash burn that could not be sustained without additional capital.
