The Company was a diversified commercial real estate owner and operator with a portfolio of office, retail and mixed-use properties located in major U.S. markets. Following a prolonged decline in office occupancy, the impacts of Covid-19, higher interest rates and reduced property valuations, the Company's portfolio experienced significant pressure. Several properties fell below underwriting expectations, while higher borrowing costs materially reduced property-level cash flow. As a result, the Company breached multiple financial covenants, including debt service coverage, loan-to-value and minimum liquidity requirements. Several lenders had the contractual right to accelerate repayment, creating the potential for property-level enforcement and a significant destruction of enterprise value.
