The Company was a privately owned forest products business operating a modern sawmill and secondary wood-processing facility. The Company had historically generated stable revenues through the sale of lumber to Canadian and U.S. building-material distributors, wholesalers and industrial customers. A significant portion of the Company's production was sold into the U.S. market. Changes in U.S. tariff treatment, combined with elevated transportation costs, volatile lumber prices and weaker construction demand, materially reduced the Company's realized margins. At the same time, the Company had accumulated significant inventory during a period of declining market prices and was carrying approximately C$24 million of senior secured debt and working capital facilities. The resulting reduction in gross margins caused the Company to breach several financial covenants and substantially reduced availability under its revolving credit facility. The business remained operationally viable, but management determined that an immediate restructuring was required to prevent a liquidity crisis.
